User Agreement and Terms of Service

Welcome to Fukuro MerchMaker, a platform where you may order, customize, purchase, or upload your designs and have them manufactured into your very own novelty items. Please understand that all users, guests, registered or unregistered are required to agree to this user agreement and terms of services before continuing. By continuing with the use of this platform, users are seen as to have agreed to this terms of services.

General Terms

Fukuro MerchMaker is created and operated by Hong Kong registered Limited Liability Company Shinyo Enterprises Co Ltd (Company Registration Number# 2917149). The terms, the company's jurisdiction region, and timezones are based on those of Hong Kong.

Membership and Registration

In order to use the full functionalities of Fukuro MerchMaker and to make a purchase, we recommend all users to register for a membership. Memberships and registrations are free of charge. Please note that registration can only be conducted through the platform.

For users who are unregistered or not logged in, your user experience and access of functionalities will be limited.

To create a better user experience and a quick purchase checkout, we request our users to provide certain information through our platform, and stored with your membership particulars. These information include, but not limited to your chosen username, a password, your real name, delivery and billing addresses, payment methods, and basic contact information. Privacy is of high concern at Fukuro MerchMaker, we do not actively pass on your information to third parties for marketing purpuses unless under your direct approval.

Memberships are extendable, however they may be suspended under different circumstances as determined by the Company.

Please protect your personal information, including your login name and password. Please also keep your information updated in order to prevent delays or problems with your usage of our platform. If any issues are of result of irroneous or outdated information, the user will be responsible for all costs incurred.

When a user account is not been logged into for 365 days (1 year), the said account may be listed dormant and may be removed.

Membership Points

Fukuro MerchMaker Memberpoints are accured via different methods, including making a purchase through the system. Points may be used to make payment for certain purchases made on Fukuro MerchMaker or other affiliated platforms.

Under usual circumstances, there is a one year validity to membership points, expired points may not be recovered.

Currently, memberpoints are accured at a rate of 5%, or 1 point per every HK$20 spent as merchandise purchase price made on eligible purchases. Purchases paid with points do not credit towards new points, and shipping costs does not include into the purchase price that counts towards member points. If the membership point accrued is under 1 point, then no points will be credited.

Upon termination of membership, all points will be deemed voided and cannot be recovered.

Points are redeemable at 1point to HK$1 for your future eligible purchases. A foreign exchange rate determined by Fukuro MerchMaker or the Company will be used for Foreign Exchange purchases.

Points may not be exchanged for Cash nor transferrable between accounts. Points are also not resellable.

In case of the termination of the service of the platform or the company as a whole, or being acquired by a new third party, or a change of mode of operations, Shinyo Enterprises Co Ltd, its directors, Fukuro MerchMaker do not constitute to owing any members of unused points. All points will be deemed expired and may not be recovered. Thank you for your understanding.

Buyer Member's Infomration and Terms of Services

Please read and agree to these buyer members terms of services before making a purchase on Fukuro MerchMaker.

Due to the nature of customizing products on Fukuro MerchMaker, returns and refunds are not offered for these items.

Please check and confirm your submitted designs and information when making your purchase. All submitted and finalized designs may not be altered as they will be entering manufacturing processes after being submitted.

Merchandise prices may differ or change. All item particulars are not final until payment is made and cleared.

Your order may be cancelled or altered under special circumstances due to out of stock or other operational issues. All cancelled orders will be refunded.

All discounts and special prices are based on the time of payment is being made.

In respect of the copyrights and patents of content creators, please be sure that your submitted designs are in no way of infringement of other party's intellectual rights. We at Fukuro MerchMaker will not process orders that may infringe copyrights and intellectual rights of content creators.

Fukuro Merchmaker reserves the right to refuse to process orders with designs that we may find inappropriate, or found as inappropriate by our partnering manufacturers or in violation of any laws.

Purchases of designer submitted designs do not include the copyright and intellectual property rights of the original work. All materials involving the design, may it be from a fellow user, or from our company, or other entities, are properties of Shinyo Enterprises Co Ltd or their respective creators. Customers are not allowed to copy, reuse, reprint, recreate any of the materials provided through Furkuo MerchMaker.

Shipping Services

Customers may choose to use different delivery methods. Shipping costs are determined by volume or the weight of the shipment. In circumstances involving special delivery needs, such as oversized packages, Fukuro MerchMaker or our service providers may contact the customer to arrange for the best available shipping method to fulfill the order.

Unless specified, all quoted prices do not include shipping costs or taxes.

Listed shipping costs may not include special surcharges from the courier service provider. Taxes and importation fees are also not included in the purchase price due to the complexity of importing regulations worldwide.

For customers using a depot pickup option, please retrieve your shipment within 2 business days or a service charge may be payable to the shipping service provider.

Cargo depots may be full or closed, your package may be rerouted to other pick up points. Please stay updated with the latest shipping information through the platform.

Shipping and Handling times shown is the time required after the item leaves its manufacturing location. However, due to current circumstances the actual shippment time may differ from listed. Unfortunately we are unable to provide any guarantees to shipment times currently.

Privacy and User Information

1.Information supplied by the users are stored on servers and databases of Shinyo Enterprises or its service providers. Certain Staff members of the Company and the Platform may be able to access the information for operational purposes. However it is impossible to figure out user passwords therefore please safe guard your log in and account information in order not to cause disruptions to your usage.

2.If you have any doubts or questions about the storage and handling of your information, it is recommended you should immediately terminate the use of this platform。

3.Please note that the users have the responsibility to keep information up to date. Any costs and disruptions caused by old and outdated information will be the responsibility of the user.

4.Persons under 16 years of age will require parental or guardian consent before registering and using Fukuro MerchMaker.

5.Fukuro MerchMaker does not actively supply your personal information to third-parties for advertising and marketing usages. If you have discovered issues regarding this aspect, please notify us by email: admin@shinyoworld.com. Thank you for your help.

6.Users may request to have their accounts deleted. However please understand that user information will be retained for 60 days after the request has been processed.

7.For security and operation purposes, certain information, including but not limited to client IP address, time of visit may be retained on the database for quality assurance functions.

Design/Artwork Contributors, Suppliers Account

1.Fukuro MerchMaker welcomes anyone to join as a contributors or merchandise suppliers (aggregated as "contributors" hence forth). Contributors may use the system to upload their designs and ideas to Fukuro MerchMaker, and these items may be included as merchandise on the platform after a selection process.

2.Please confirm that you as contributor has the ownership to the rights of the uploaded works, and the work is in no way in infringement of any parties intellectual rights.

3.The platform may reject a design based on the manufacturer's requirements or local laws.

4.Fukuro MerchMaker retains the right to decide on the selection of a work. The company may refuse any designs for any reasons.

5.In case of copyright infringements, any consequences will be the responsible of the contributor.

6.The contributor is the owner of the intellectual property of the contributed work. However, the contributor agrees to grant Fukuro MerchMaker, Shinyo Enterprises Co Ltd the right to use, market, sell, alter the contributed work. Such rights shall remain in effect as long as the work is published for sale.

7.Fukuro MerchMaker will take certain necessary procedures in order to protect the intellectual properties of these work, including, but not limited to alterations of an addition of watermarks. Please understand that Fukuro MerchMaker does not guarantee the safety of these intellectual rights. Buyers do not own the intellectual property rights to the purchased designs.

8.Contributor's profit sharing amount will be credited to the contributor after the entire sales had been completed.

9.Contributor's profit sharing amount will not exceed the amount preset by the contributor during the upload unless in special occasions.

10.Contributors may request for a withdrawal free of service charge once per calendar month. However, there may still be banking and transaction fees that will be paid by the contributor. If the contributor's fee involves with foreign currency exchanges, an exchange rate determined by Fukuro MerchMaker or Shinyo Enterprises Co Ltd will be used. All rates are for references only until actual transaction. Fukuro Merchmaker uses the Hong Kong Dollar (HKD) as base currency. Contributors may opt to receive the amount in HKD, however please provide adequate information for the transaction. Any issues including but not limited to errors in information provided, may result in banking fees which will be born by the user.

11.The minimum of each withdraw is HKD$100 or equivalent.

12.If copyright infringements or other violations are found, the platform may freeze the user account.

13.Please understand that due to banking requirements and fund safety, Fukuro MerchMaker will only transfer the funds to a bank account under the same registered user's real name on our records. Company users please provide your company name at signing up or through the Edit User Information page.

14.Please understand that the Platform and the Company, Shinyo Enterprises Co Ltd are not responsible for taxation issues of the user. Please report for your taxes according to your local regulations.

15.In case of account termination, funds will be automatically withdrew from the account by check or wire transfer in HKD, after clearing all outstanding fees and unsettled amount. Users are bound by this set of terms of services until the account is fully terminated.

16.The company, and the platform has the right to the final decision and interpretation of these terms of services.

Disclaimer

1.Shinyo Enterprises Company Ltd, the owner, creator and operator of Fukuro MerchMaker, is a Hong Kong registered company, and operates based on the laws of Hong Kong.

2.The company or the platform do not bear the responsiblity from any injuries, death or damages while using our products.

3.All persons must not use this platform in ways not intended. It is sanctioned by the Law of Hong Kong that users must not use any computer systems in a dishonest and abusive manner.

4.Fukuro MerchMaker為Shinyo Enterprises Co Ltd is developed and created by Shinyo Enterprises Co Ltd, the company reserves all rights over the content and system codes to the platform.

5.In case of suspension and disruptions of service: The company is not responsible for any damages or disruptions caused by the temporary suspension of Fukuro MerchMaker services.

6.These terms of services may change from time to time. Please come back to this page to check on the latest policy regarding this platform.

7.The English version always prevail.

會員註冊與會籍

為了下訂單或使用 Fukuro MerchMaker 平台的擴展功能，建議用戶註冊成為平台的註冊用戶。有效用戶註冊只能通過平台進行。

未註冊或登入的用戶為訪客，用戶體驗與功能會有一定的受限。Fukuro MerchMaker建議通過平台註冊成為註冊用戶。

為提供更便捷的購物與使用體驗，用戶需要提供基礎個人訊息予本公司。該資料為最低限的個人資料，包括並不限於用戶名稱，密碼，姓名，送貨地址，帳單地址，付款方式，聯絡方式等資料。保障您的個人資訊，本公司並不會主動出售閣下之訊息予第三方人士以作為市場推廣之用。

會員資格是可以續期的，同時也可以要求中止或由本公司中止會員資格。敬請留意。

請各位用戶保護自己的個人用戶訊息，也為了減低使用上的問題，用戶有責任負責及時更新自己的用戶訊息。如果因為個人訊息未及更新或紛失的情況導致的業務受阻以及所產生之未預期費用，例如:郵包地址更改等，需要由客戶承擔。

當帳戶有一定時間(365日)未有使用或登入，則可能被列為休眠帳戶。休眠帳戶可能會被移除。

會員積分

Fukuro MerchMaker積分通過購物或其他有效方法累積，可以用於本平台或其他合作夥伴購物之用。

會員積分如非在特別情況指定下，有效期為1年。如果積分過期將無法恢復。

以現在時點計算，積分的累積方法是平台購物累計所得。以現在的計算方式是購屋額的5%，或每滿$20等如1分。如果按照購物金額百分比計算出的積分結果不足1分，則該交易未能累積任何積分。

會員資格中止的時候所有的積分將不會被補發。

積分以1分=港幣1元的兌換率計算。在使用外幣的情況下則根據本公司所採用的匯率來計算。

積分不可以兌換成為現金也不可以在會員帳戶之間交易或互換。分數也不可以買賣或交易。

如果因為本平台結束營業或改變營運模式，收購等狀況，本公司信陽企業有限公司並不會需要兌現未使用的積分，未經使用的積分也將會立即失效。敬請留意。

買家客戶:於平台上購物須知

敬請客戶在購買商品前理解商品說明，購買條件須知。

因為Fukuro MerchMaker 為客戶訂製商品的性質，客戶自訂修改設計的商品將不接受更換，退款或退貨。

請務必確認訂單與設計資料之後確定預定。訂單與設計進入製作流程之後將不可以修改。

商品價格與細則可能因為狀況而改變。價格與細則以付款的時候為準。

訂單可能因為商品供應問題而有所更改或在特別情況下只能取消。取消的時候本平台將會退回有關的交易款項。

優惠價格的使用以付款的時間為準

因應尊重原創者版權的原則，請確定所提供製作的設計並不涉及侵犯他人版權的物件。本平台不會接受有可能導致版權問題的訂單。

本平台可能因應廠商意願或當地法規的原因而無法製作用戶提交的設計。

請注意所購買之商品並不附屬該商品的設計圖或版權。商品的設計，圖紙，版權屬於本公司，本平台或該設計的原創者。請勿複製或轉載，複製，散佈有關的設計圖與資料。

配送服務

客戶可以選擇不同的配送服務。運費根據系統顯示的價格與重量計算。在特殊情況，如體積過大等，則有可能由本公司經過與客戶連絡之後改用其他更為合適的配送方法。

如非特別指明的狀況，所表示的商品價格並未包括運費。

現實的運費並不包括運輸公司所指定的特別服務要求，如偏遠地區附加費，搬運費用等。詳情請先與本公司確定。

選擇取貨點收取商品的客戶請在貨品抵達之後的2個工作天之內提取商品。延誤而產生的費用需要由客戶承擔。

取貨點可能回應為營運狀況需要而有所改變。這些情況如: 取貨點已滿，關閉，休息，休業，可能會讓商品配送到附近其他的取貨店。請隨時留意本平台發出的最新公告於訊息通知。

所顯示的預計配送時間為商品製作完成之後開始計算的預測時間。根據實際的運輸情況運輸時間可能會有所改變。

私隱條款與用戶資訊

1.用戶所提交的資訊均保存在本公司或聯營夥伴的數據庫當中。因應業務內容本公司相關業務的職員可以查看某些與進行中的業務的用戶內容，然而我們無法得知閣下所設定之密碼。為了不要影響到使用，敬請保存好密碼。

2.如果對於本公司的用戶資訊保護措施有疑問，請聯絡本公司或考慮停止使用本平台。

3.用戶需要確保所提供的資訊為真實準確，以便業務進行。任何因為錯誤資料導致的問題與風險將會由用戶承擔。

4.本平台的獨立使用者最低年限為16歲。16歲以下用戶必須由家長同意之後使用本平台。

5.本公司Fukuro MerchMaker不會主動向第三方提供個人資訊以作市場推廣用途。如果有發現，煩請聯絡我們以便處理。admin@shinyoworld.com。感謝您的合作。

6.用戶資訊會在用戶提出刪除帳戶之後依然保存，本公司將會保留用戶資訊不多於60日。

7.為了保障系統安全與優化用戶體驗，個人資訊包括但不限噢，IP位置，登入時間等可能會被系統紀錄。

投稿/設計者/供應商等賣家用戶須知

1.Fukuro MerchMaker歡迎任何人士登記成為投稿者，設計者，工藝師(以下統一為投稿者)，可以通過本平台提供自己創作的設計，通過檢查之後成為商品。

2.請確定提出的設計為投稿者本人所原創而且並未有侵犯其他第三方人士的版權。

3.本平台可能因應廠商意願或當地法規的原因而無法製作投稿者提交的設計。

4.本平台對於設計的採用與否有一切決定權。

5.對於侵犯版權的設計或商品產生的問題，將會由投稿者負責。

6.投稿者擁有該當物品的版權,但在提交投稿設計或商品的時候等同接受已經給予本平台使用，銷售，修改該設計的權限。

7.本平台會採取一定的方法，包括但不限於增加水印等方法來保障投稿者的版權。但請理解本平台並不對該當作品或設計的版權保護有任何責任。買家並不擁有他們所購買的產品的設計的版權。

8.投稿者利潤分享計畫的金額將會在交易完整完成之後記入投稿者的帳戶之中。

9.該當利潤分享計畫會以投稿者所設定的設計費用為上限

10.投稿者可以每一個月一次免服務費用提出提取金額的要求。然而提出的有可能會被銀行或金融機構收取服務費用。使用外幣的情況下，投稿者需要接受由本平台訂出的匯率進行兌換。匯率以實際提取的時候為準。如果客戶選擇以港幣收取款項，請提供相應的資訊以便進行匯款。

11.每一次提款需要超過港幣$100元為最低金額。

12.如果用戶因為版權或其他理由，本平台有權凍結該帳戶直到紛爭解決為止。

13.請注意因為安全與法規理由本平台只能向與Fukuro MerchMaker帳戶登記的姓名相同名義的銀行帳戶或支票抬頭進行匯款。公司客戶請在登記帳戶的時候填寫公司名稱。

14.請注意Fukuro MerchMaker，本公司，平台並不對投稿者的稅務狀況有任何的責任。請根據當地法規進行申報。

15.在終止帳戶的時候，在清除了其他費用或問題之後，本平台會將帳戶的有效餘額轉匯給用戶所指定的銀行戶口或以香港港元支票完成退款手續。交易費用則由客戶承擔。使用者在取消帳戶之後依然繼續受此條款約束至到帳戶完全刪除為止。

16.本公司擁有對條款與服務內容的最終解釋與決定權。

免責聲明

1.信陽企業有限公司為香港註冊有限責任公司，以香港法律為基礎。

2.本公司或本平台並不對任何使用購自本公司平台的商品導致的傷害與損失保有任何責任。

3.任何人士不得不當使用本平台或進行平台的設計以外的操作。不當使用電腦為刑事罪行。

4.Fukuro MerchMaker為Shinyo Enterprises Co Ltd開發之平台系統。所有內容，以至任何部分均包括在本公司的版權。不可複製。

5.服務中斷。對於因任何原因(包括但不限於維護、修改、消除缺陷或本公司認為有必要暫停服務的其他情況)而導致服務中斷或暫停而導致的任何損害，本公司概不負責。
